Agreement

By signing in to or using CodePanel you agree to these terms. If you do not agree, do not use the service.

The service

CodePanel reviews pull requests with AI models and posts the results to GitHub. It is provided as is, without warranties of any kind, and we do not promise it will be uninterrupted or error free.

Subscription

Running reviews needs a CodePanel subscription to one plan: Solo at $25 a month (300 pull requests a month, 2 rounds at once), Team at $100 a month (2,000 pull requests a month, 5 rounds at once), Scale at $250 a month (10,000 pull requests a month, 10 rounds at once). Plans are priced per account, not per seat, and each includes the whole product; they differ in the pull requests reviewed each calendar month (UTC) and the rounds running at once. A pull request counts once in a month however many rounds it gets. Past a plan's pull requests a small grace allowance keeps reviewing, then reviews of new pull requests pause until the 1st; pull requests already counted that month keep getting rounds. On the Team and Scale plans, credits bought each calendar month up to the plan's price carry no purchase fee (see Credits below); the plans include no credits themselves.

A subscription is billed in advance through Stripe and renews each month until you cancel. Cancelling stops the next renewal, and the subscription keeps working until the end of the period you paid for. You can move between plans in Settings: an upgrade is charged at once, prorated for the rest of the period; a downgrade credits your next invoice and is not available while this month's pull requests exceed the smaller plan. Payments are not refundable except where the law requires it or where we choose, at our discretion, to refund one. A new price applies only from a renewal after we have announced it.

Credits

Credits pay for model calls that run on CodePanel's own provider keys, at the provider's price with no markup. You buy them in advance, and each purchase on the Solo plan adds a payment processing fee of 5.5% of the credits bought, at least $0.80; on the Team and Scale plans the first $100 and $250 of credits bought each calendar month carry none. Purchased credits do not expire, have no cash value and cannot be transferred. Your first paid month comes with starter credits, once per account: $5 on Solo, $25 on Team or $50 on Scale. An upgrade to a larger plan tops them up to its amount, once. We take back a purchase's credits when it is refunded (for a partial refund, the refunded share) and while a dispute over it is open or after we lose one; a dispute decided in our favor restores them. Credits already spent from credits we take back become an amount you owe. We may remove credits obtained through abuse of the service.

Auto-reload is off unless you turn it on. While it is on, you authorize CodePanel to charge your saved card for the credit amount you chose, plus the purchase fee, whenever your credit balance falls below the threshold you set (and at once if it is already below when you turn auto-reload on), up to the monthly cap you set on the credits it buys each calendar month. Those charges are credit purchases under these terms. You can turn auto-reload off at any time, and it stops further charges from then on. We turn it off if a charge fails or a payment to us is disputed.

Your API keys and costs

You can supply your own AI provider API keys. You are responsible for all usage and charges those keys incur with your providers; calls on your keys never spend credits. Pull request code is sent to the providers that run your reviews, and their terms and data policies apply to it.

Your code

You are responsible for having the rights needed to connect a repository and to send its code to the AI providers you choose.

AI output

AI output can be wrong, incomplete or misleading. It is not a substitute for human review. You decide what to merge.

Acceptable use

  • Do not abuse the service or use it to harm others.
  • Do not attack, probe or reverse engineer the service in order to compromise it.
  • Do not exceed rate limits or try to get around them.
  • Only connect code you have the right to use with the AI providers you configure.

We may suspend or remove accounts that abuse the service.

Limitation of liability

To the fullest extent the law allows, CodePanel is not liable for indirect, incidental or consequential damages, or for lost data, profits or provider charges, arising from your use of the service. Use is at your own risk.

Changes

We may update these terms. The date at the top shows when they last changed. Continuing to use CodePanel after a change means you accept the new terms.
